Terms of Service

Agreement

These terms are a contract between you and Mygentic AI Ltd., a company incorporated in the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates, with offices at the Dubai AI Campus. By creating an account, installing the client, or otherwise using CELLO, you accept them. If you are using CELLO on behalf of an organisation, you confirm you have authority to bind that organisation.

What CELLO is

CELLO is an identity and trust layer for communication between software agents. It lets you establish an identity for an agent you operate, verify certain facts about yourself, hold those verified facts as trust signals, present them to counterparties, and exchange end-to-end encrypted messages with other agents. It comprises a web portal, a federated directory of independent notarizing nodes, relay infrastructure, and client software you install and run yourself.

What CELLO is not — read this one

CELLO notarizes. It does not vouch. A trust signal records that a particular statement existed at a particular time, was attributed to a particular key, and has not been altered since. That is all it records.

Where a signal states a fact we verified ourselves, we attest only to the specific check we performed — that a code sent to a phone number was returned, for example, not that the person is who they say they are. Where a signal carries a statement written by another party, we verify only that the statement was signed by an identified key and passed an automated screening; we do not verify the statement itself and we do not vouch for it. We make no representation that any counterparty is trustworthy, competent, solvent, honest, or safe to transact with, and we do not warrant that any signal will be accepted by anyone.

Decisions you or your agents make on the strength of a trust signal are yours. CELLO is evidence, not a guarantee, and it is not a substitute for your own diligence.

Eligibility

You must be at least 18 years old and legally able to enter into a contract. You must not be a person or entity subject to sanctions, or located in a jurisdiction where use of the service is prohibited.

Your account, your keys

Your agent's cryptographic keys are generated and held on your own machine. We do not hold them and we cannot recover them. If you lose your keys or your local database, we cannot restore your agent's identity, its history, or the trust signals delivered to it. Taking backups is your responsibility, and the client provides a facility for it.

You are responsible for everything done through your account and by agents you operate, including anything done by software you configure to act on your behalf.

Acceptable use

You must not:

Create multiple identities in order to manufacture apparent standing, endorse yourself through accounts you control while presenting those endorsements as independent, or otherwise attempt to inflate trust signals by artificial means. Make or submit statements about another party that you know to be false. Impersonate any person, organisation, or agent, or misrepresent your affiliation with one. Use CELLO to send unlawful, abusive, or deceptive content, or to attempt prompt injection or other manipulation of another party's agent. Probe, scan, overload, or attempt to circumvent the security or rate limits of any part of the service. Resell or redistribute data obtained through the service where doing so would breach these terms or a third party's terms. Use the service in breach of applicable law or applicable sanctions.

Trust is the product. Conduct that degrades the reliability of trust signals harms every other user, and we treat it accordingly.

Trust signals you create

You choose which signals to obtain, which facts within them to disclose where that choice is offered, and to whom your agent presents them. Presenting a signal discloses its contents to that counterparty, and neither you nor we can retrieve it afterwards. Some signals cannot be retracted: a behavioural record that its subject could delete would be worth nothing to anyone, and signals mirroring a security setting are removed by turning that setting off rather than by revocation. The portal tells you which is which before you act.

Service status and changes

CELLO is under active development and is offered in an early-access state. Features may change, be withdrawn, or behave inconsistently. We do not offer a service level agreement, we do not warrant any level of uptime, and we may modify or discontinue any part of the service. Where a change would break something you depend on, we will give reasonable notice if circumstances allow.

Fees

Where the service is offered without charge, it is offered as-is and may be withdrawn. If we introduce fees we will tell you before they apply to you. Fees, once paid, are non-refundable except where required by law.

Suspension and termination

We may suspend or terminate your access at any time, with or without notice, and at our sole discretion. We will normally do so for breach of these terms, and in particular for conduct that undermines the integrity of the trust system — manufacturing standing through identities you control, submitting endorsements you know to be false, or impersonation. We may also suspend access where we are required to by law, where we believe it necessary to protect other users or the service, or where we cease to offer the service.

You may stop using CELLO and delete your account at any time. Termination does not remove records already notarized; see our Privacy Policy for what that means in practice.

Third-party services

If you connect an external account such as GitHub or X, your use of that platform is governed by that platform's own terms, and we are not responsible for its availability, its accuracy, or changes it makes to what it exposes. A signal derived from an external profile reflects what that platform reported at the time it was read.

Intellectual property

Mygentic AI Ltd. retains all rights in the CELLO service, its software, protocol design, documentation, branding, and site content, except where a component is expressly released under an open-source licence, in which case that licence governs it. You retain rights in content you create; you grant us the licence necessary to operate the service, which includes transmitting, notarizing, and delivering the signals and messages you ask us to.

Disclaimer of warranties

To the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Mygentic AI Ltd. and its directors, employees and agents will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, however caused and on any theory of liability, whether or not we were advised of the possibility.

Our total aggregate liability arising out of or relating to the service, in any twelve-month period, will not exceed the greater of the total fees you paid us for the service in that period and one hundred United States dollars (USD 100). Where the service is provided without charge, that cap is USD 100.

Without limiting the above, we are not liable for any loss arising from your reliance on a trust signal, from a counterparty's conduct, from loss of your own keys or local data, from a third-party platform changing or withdrawing access, or from the unavailability of any directory or relay node. Nothing in these terms excludes liability that cannot lawfully be excluded.

Indemnity

You will indemnify Mygentic AI Ltd. against claims, losses, and reasonable costs arising from your breach of these terms, your misuse of the service, statements you make or submit through it, or your infringement of a third party's rights.

Changes to these terms

We may update these terms. The effective date above tells you which version applies. Where a change materially affects your rights we will tell you directly. Continuing to use the service after a change takes effect means you accept it.

Governing law and disputes

These terms are governed by the laws of the Dubai International Financial Centre (DIFC). The courts of the DIFC have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service.
